SERVICES OFFERED
Carlos Ramey Consulting provides professional advisory services to businesses and individuals across the following disciplines:
• Strategy — High-level guidance on business direction, growth planning, market positioning, and organizational development
• Operations — Process improvement, workflow restructuring, efficiency analysis, and team performance optimization
• Technology (IT) — Software implementation guidance, digital infrastructure planning, systems integration advisory, and technology vendor evaluation
• Medical Billing Advisory — Billing process consulting, revenue cycle guidance, denial management strategy, and healthcare practice operations. Note: Carlos Ramey Consulting does not provide medical coding services and is not a certified medical coder.All services are advisory and consultative in nature. Nothing provided by Carlos Ramey Consulting constitutes legal, financial, medical, accounting, or regulatory advice. Clients are encouraged to seek qualified licensed professionals for matters requiring such expertise.2. ENGAGEMENT & PAYMENT
2.1 Scope of Engagement
All consulting engagements are defined by a written agreement, statement of work, or proposal mutually agreed upon by both Parties prior to commencement of services. Work performed outside the agreed scope may be subject to additional fees.
2.2 Fees & Payment
Fees for services are outlined in the applicable service agreement or proposal. Payment is due as specified in the invoice or agreement. Carlos Ramey Consulting reserves the right to pause or discontinue services for accounts with outstanding balances beyond thirty (30) days past due.
2.3 Refund Policy
All payments are non-refundable once services have commenced. If an engagement is cancelled prior to the start of services, a refund may be considered at the sole discretion of Carlos Ramey Consulting. Deposits, retainers, and booking fees are non-refundable unless otherwise stated in writing.
2.4 Taxes
Client is responsible for all applicable taxes, duties, or fees associated with the purchase of services, except for taxes assessed on Company's net income.3. INTELLECTUAL PROPERTY
3.1 Company Materials
All content on this Site, including but not limited to text, graphics, logos, frameworks, methodologies, templates, and training materials, is the intellectual property of Carlos Ramey Consulting and is protected under applicable copyright and intellectual property laws. Unauthorized reproduction, distribution, or use of any Site content is strictly prohibited.
3.2 Deliverables
Unless otherwise agreed in writing, deliverables created specifically for a Client engagement become the property of the Client upon receipt of full payment. Carlos Ramey Consulting retains the right to use generalized methodologies, frameworks, and non-confidential learnings derived from any engagement for future work.
3.3 Client Content
By providing content, data, or materials to Carlos Ramey Consulting in connection with an engagement, Client grants Company a limited, non-exclusive license to use such content solely for the purpose of delivering the agreed services.4. CONFIDENTIALITY
Both Parties agree to keep confidential any proprietary, sensitive, or non-public information shared during the course of an engagement. Neither Party shall disclose the other's Confidential Information to any third party without prior written consent, except as required by law or regulation. This obligation survives termination of the engagement for a period of three (3) years.For engagements involving Protected Health Information (PHI) as defined under HIPAA, a separate Business Associate Agreement (BAA) will be required and executed prior to the start of services.5. DISCLAIMER OF WARRANTIES
THE SITE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CARLOS RAMEY CONSULTING DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.Consulting recommendations and advisory services are based on information provided by the Client and reflect professional judgment at the time of engagement. Carlos Ramey Consulting makes no guarantee of specific outcomes, revenue results, operational improvements, or business performance as a result of services rendered.6. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Carlos Ramey Consulting shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from your use of the Site or services, even if advised of the possibility of such damages.Company's total cumulative liability for any claims arising under these Terms shall not exceed the total fees paid by Client to Carlos Ramey Consulting in the three (3) months immediately preceding the event giving rise to the claim.7. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Carlos Ramey Consulting, its owner, affiliates, agents, and representatives from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Site or services; (b) your violation of these Terms; (c) inaccurate, incomplete, or misleading information you provide; or (d) your violation of any applicable law or regulation.8. PRIVACY POLICY
Your use of this Site and services is also governed by our Privacy Policy, which is incorporated herein by reference. Carlos Ramey Consulting will not transmit Protected Health Information (PHI) via unencrypted SMS messages. Any healthcare-related communications requiring secure transmission will be conducted through HIPAA-compliant channels.10. THIRD-PARTY LINKS & SERVICES
The Site may contain links to third-party websites, platforms, or services (such as Zoho Bookings, Square, or LinkedIn) that are not owned or controlled by Carlos Ramey Consulting. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. Carlos Ramey Consulting operates as an independent contractor. Nothing in these Terms or any engagement shall be construed to create an employment, partnership, joint venture, or agency relationship between the Client and Carlos Ramey Consulting. Carlos Ramey Consulting is solely responsible for all taxes, insurance, and other obligations arising from its independent contractor status.12. GOVERNING LAW & DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.In the event of any dispute arising from or related to these Terms or any engagement with Carlos Ramey Consulting, the Parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within thirty (30) days, the dispute shall be submitted to binding arbitration in New York under the rules of the American Arbitration Association. The prevailing Party shall be entitled to recover reasonable attorneys' fees and costs.13. MODIFICATIONS TO THESE TERMS
Carlos Ramey Consulting reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to the Site with a revised Effective Date. Continued use of the Site or services following the posting of changes constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.14. ENTIRE AGREEMENT & SEVERABILITY
These Terms, together with any applicable engagement agreement, proposal, BAA, or other written agreement between the Parties, constitute the entire agreement between you and Carlos Ramey Consulting with respect to your use of the Site and services. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.15.
